Agreement
These Terms of Service ("Terms") constitute a binding agreement between you ("Client", "you") and Axis Digital Art Private Limited ("we", "us", "our"), a private limited company registered in India with its registered office at Chittorgarh, Rajasthan 312025.
By accessing our website at www.axisdigitalart.com or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you disagree with any part of these terms, please do not use our services.
Our Services
Axis Digital Art provides the following digital services:
- Website design and development (custom builds, redesigns, landing pages)
- Shopify development (store setup, theme development, migrations, optimization)
- E-commerce platform development (WooCommerce, Magento, OpenCart, Laravel)
- Hosting, server management, and deployment services
- Search engine optimization (SEO) and growth marketing
- Digital marketing campaigns and analytics
- Ongoing maintenance, support, and retainer services
Specific deliverables, timelines, and pricing for each engagement will be detailed in a separate proposal, statement of work, or quotation document.
Engagement and Quotes
Each project begins with a written proposal or quotation outlining scope, deliverables, timeline, and pricing. The engagement is confirmed when:
- You accept the proposal in writing (email confirmation is sufficient).
- The first invoice or advance payment is paid as agreed.
Quotes are valid for 30 days from issue. After this period, pricing may be revised based on updated requirements or market conditions. Any work outside the agreed scope will be quoted separately as additional work.
Payment Terms
Standard payment terms for Axis Digital Art engagements:
- Advance payment - Typically 30-50% of project value to begin work, depending on scope.
- Milestone payments - Subsequent installments tied to specific deliverables (design approval, development completion, launch).
- Final payment - Due before final delivery and handover of all assets.
- Retainer services - Billed monthly in advance.
Accepted Payment Methods
We accept payments via Razorpay, PayPal, Stripe, bank transfer (NEFT/RTGS for Indian clients, SWIFT for international), and Wise. Bank charges and currency conversion fees, if any, are borne by the client.
Late Payments
Invoices are payable within 7 days of issue unless otherwise agreed. Overdue payments may attract a late fee of 2% per month. We reserve the right to pause work on outstanding projects until payment is received.
Taxes
All prices are exclusive of applicable taxes. Indian clients are charged GST at the prevailing rate. International clients are responsible for any local taxes, duties, or withholding obligations in their jurisdiction.
Project Delivery
We commit to delivering your project within the timeline outlined in your proposal. However, delivery dates are estimates and may be affected by:
- Delayed feedback, approvals, or content delivery from the client.
- Scope changes or additional features requested mid-project.
- Third-party dependencies (hosting providers, payment gateways, APIs).
- Force majeure events including natural disasters, internet outages, or government restrictions.
We will keep you informed of progress through regular updates and communicate proactively about any delays.
Revisions
Each project includes a defined number of revision rounds as specified in your proposal. Typically:
- Design phase - 2 to 3 rounds of revisions on wireframes and visual designs.
- Development phase - 1 to 2 rounds of refinements after build completion.
- Pre-launch QA - bug fixes and adjustments based on testing.
Revisions beyond the agreed scope will be quoted as additional work at our standard hourly rate.
Intellectual Property
Your Ownership
Upon receipt of full and final payment, you receive complete ownership of:
- All custom-developed code written specifically for your project.
- Custom design files and visual assets created exclusively for you.
- Content you provided, which remains your property at all times.
- Your domain name, hosting account credentials, and database.
Our Retained Rights
We retain rights to:
- Pre-existing tools, frameworks, libraries, and code modules developed before your project.
- General techniques, methodologies, and know-how used during the engagement.
- The right to display non-confidential project work in our portfolio and marketing materials, unless explicitly agreed otherwise in writing.
Third-Party Components
Some projects may incorporate third-party themes, plugins, fonts, or software licensed under separate terms. License fees, if any, are typically your responsibility unless included in the project quote.
Client Responsibilities
To ensure smooth project delivery, you agree to:
- Provide accurate project requirements, content, and assets in a timely manner.
- Respond to communications, approvals, and feedback requests within reasonable timeframes (typically 3-5 business days).
- Ensure you have the legal right to use any content, images, logos, or materials you provide.
- Make agreed payments on schedule.
- Provide access credentials, API keys, or third-party accounts required for project completion.
- Designate a primary point of contact authorized to make project decisions.
Note: Excessive delays in client feedback or payment may result in project pauses, timeline extensions, and rescheduling fees.
Confidentiality
We treat all non-public business information you share with us as confidential. We will not disclose your strategies, designs, code, customer data, or business plans to any third party without your written consent, except:
- To our employees and contractors who need access to deliver your project.
- To service providers under appropriate confidentiality obligations.
- When required by law, court order, or regulatory authority.
This obligation continues for 3 years after project completion. Information that is publicly available or independently developed is not considered confidential.
Warranties and Disclaimers
What We Warrant
- Our services will be performed with reasonable care, skill, and professionalism consistent with industry standards.
- We will fix any bugs or defects in our work that you report within 30 days of delivery at no additional cost (warranty period).
What We Do Not Warrant
We make no guarantees regarding:
- Specific search engine rankings, traffic volumes, or revenue outcomes from SEO and marketing services.
- Uninterrupted or error-free operation of websites due to third-party hosting, internet, or browser issues.
- Compatibility with future browser versions, plugins, or third-party services.
- Compliance with regulations specific to your industry (banking, healthcare, etc.) unless explicitly scoped.
Issues caused by changes to your site by parties other than us, by third-party plugins you install, or by hosting changes are not covered under warranty.
Limitation of Liability
To the maximum extent permitted by Indian law:
- Our total liability under any project shall not exceed the total fees paid by you for that specific project.
- We are not liable for indirect, incidental, consequential, or special damages including lost profits, lost data, or business interruption.
- We are not liable for damages arising from your use of third-party services, plugins, hosting providers, or APIs.
- We are not liable for delays or failures caused by circumstances beyond our reasonable control.
Nothing in these Terms limits liability for fraud, willful misconduct, or any liability that cannot be excluded under applicable law.
Termination
By You
You may terminate an ongoing project with written notice. Upon termination:
- You are responsible for payment of all work completed up to the termination date.
- We will provide all completed deliverables paid for.
- Advance payments are subject to our Refund Policy.
By Us
We may terminate an engagement if:
- Payment is overdue by more than 30 days despite reminders.
- The client engages in abusive, illegal, or unethical conduct.
- The project scope cannot be reasonably completed due to client non-cooperation.
- Circumstances beyond our reasonable control prevent continuation.
In such cases, we will provide a final accounting and refund any unearned advance payments per our Refund Policy.
Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Chittorgarh, Rajasthan, India.
Before resorting to litigation, both parties agree to attempt resolution through good-faith negotiation, followed by mediation if necessary.
Changes to These Terms
We may update these Terms periodically to reflect changes in our practices, services, or legal requirements. Updated Terms will be posted on this page with a revised "Last updated" date. For significant changes affecting active engagements, we will notify clients directly via email.
Continued use of our website or services after changes take effect constitutes acceptance of the updated Terms.
